Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ModeRelay website at moderelay.com and the ModeRelay social media scheduling service (together, the "Service"), provided by ModeRelay ("ModeRelay", "we", "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

ModeRelay lets you write posts, attach images and videos, adapt them for each social network, and publish them immediately or at a scheduled time to accounts you connect, currently X, LinkedIn, Instagram, YouTube and TikTok. It also offers an optional AI writing assistant. ModeRelay is an independent product and is not affiliated with, endorsed by or sponsored by any of these networks.

2. Eligibility and accounts

  • You must be at least 18 years old, or the age of majority where you live, and able to form a binding contract.
  • You must give accurate account information and keep your sign-in credentials secure. You are responsible for all activity under your account.
  • If you use the Service on behalf of an organization, you confirm you are authorized to accept these Terms for it.
  • Tell us promptly at hello@moderelay.com if you suspect unauthorized use of your account.

3. Connected social accounts

  • You may connect only social accounts that you own or are authorized to manage.
  • By connecting an account, you authorize ModeRelay to use the permissions you grant to publish the content you schedule or publish, and to read the basic profile information needed to show which account a post will go to.
  • ModeRelay publishes only content you create or approve, only to the accounts you select, and only when you publish or schedule it. We never post on your behalf without your action.
  • You can disconnect an account at any time from the Accounts page or from the network's own settings.
  • Your use of each network remains subject to that network's terms and policies, including the TikTok Terms of Service, TikTok Community Guidelines and, when you disclose commercial content, TikTok's Branded Content Policy and Music Usage Confirmation.
  • Networks may change or withdraw their APIs, limits or permissions at any time. When that happens, some features may stop working for that network, and we are not responsible for such changes.

4. Your content

  • You keep all ownership rights in the text, images, videos and other content you submit ("Your Content").
  • You grant ModeRelay a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce and transmit Your Content solely to operate the Service for you, including sending it to the networks you choose. This license ends when you delete Your Content or your account, except for copies already published on a network.
  • You are solely responsible for Your Content and confirm that you have all rights needed to publish it, including rights to any music, footage, images, trademarks and likenesses it contains.
  • You are responsible for making any required disclosures, including disclosing paid partnerships and branded content, and for choosing the audience (privacy level) of each post.

5. Acceptable use

You agree not to use the Service to:

  • publish content that is illegal, infringing, defamatory, harassing, hateful, sexually exploitative, violent or misleading, or that violates any network's rules;
  • send spam, run fake or deceptive accounts, artificially inflate engagement, or coordinate inauthentic behavior;
  • impersonate any person or organization;
  • access accounts you are not authorized to manage;
  • circumvent rate limits, security measures or network restrictions, or scrape, reverse engineer or disrupt the Service;
  • upload malware or attempt to gain unauthorized access to our systems or other users' data.

We may remove content from the Service, block publishing, or suspend or terminate accounts that violate these Terms or that a network tells us violate its policies.

6. AI writing assistant

AI suggestions may be inaccurate, incomplete or similar to content produced for others. Review everything before you publish it. You are responsible for content you publish, whether or not you used the assistant. Text you send to the assistant is processed by our AI provider as described in our Privacy Policy.

7. Fees

The Service is currently offered free of charge. If we introduce paid plans, we will tell you the prices and terms in advance, and you will not be charged unless you choose a paid plan.

8. Our intellectual property

The Service, including its software, design, logo and the ModeRelay name, is owned by ModeRelay and protected by law. These Terms give you a limited, revocable, non-transferable right to use the Service for its intended purpose and do not grant you any other rights in it. If you send us feedback, we may use it without obligation to you.

9. Availability and changes

We work to publish every post on time, but scheduled publishing depends on the networks and on third-party infrastructure. We do not guarantee that any post will be published at a specific time or at all, and we may change, suspend or discontinue features. We will give reasonable notice of material changes when we can.

10. Termination

You may stop using the Service and request deletion of your account at any time by emailing hello@moderelay.com. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends and we delete your data as described in our Privacy Policy. Sections 4 (license limits), 8, 11, 12, 13 and 14 survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT POSTS WILL BE PUBLISHED SUCCESSFULLY.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODERELAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, FOLLOWERS OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US$100. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

13. Indemnification

You agree to indemnify and hold ModeRelay harmless from claims, damages and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms, a network's terms, or any law or third-party right.

14. General

  • These Terms are the entire agreement between you and ModeRelay about the Service.
  • If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
  • You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets.
  • Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.

15. Changes to these Terms

We may update these Terms. We will change the "Last updated" date and, for material changes, notify you by email or in the app before they take effect. Continuing to use the Service after changes take effect means you accept them.
